关于随时可用的数字代币监管指南的公开听证会 (Public Hearing on Guideline for Regulation on Ready-to-Use Digital Tokens)

2022年6月,证券交易委员会(SEC)办公室根据《数字资产业务紧急法令》B.E.2561 (2018),就随时可用的数字代币 (“RTU数字货币”) 的监管指南举行了在线公开听证会。听证会准则的主要做法总结如下。 1、SEC 批准要求:- (1)   上市的RTU数字代币:根据所述RTU数字代币的特性,必须通过SEC的正常轨道或快速轨道获得SEC的批准。注册声明和招股说明书草案必须提向SEC提交,并且必须通过SEC批准的ICO门户(“ICO门户”)进行发行。 (2)  非上市RTU代币:具有SEC规定特征的非上市RTU代币必须通过SEC的正常轨道获得SEC批准。其发行必须通过ICO门户网站进行。 上市的RTU代币和未上市的RTU代币都不能用作支付手段(MOP)。 2、在提供数字代币之前和之后,需要持续披露有关项目的信息,包括对项目的任何重大更改和数字代币持有人的利益,以确保投资者在做出决定之前拥有足够的信息。 3、RTU代币发行人不得持有或向其关联人分配超过SEC规定阈值的RTU代币。在沉默期内,禁止发行人及其关联人向他人出售或转让RTU代币。 4、二级市场监管条例将进行修订。其中包括对《上市规则》、《交易规则》和《市场监督规则》的修订。 根据本指南发布的新法规将适用于在新法规生效日期之前发行但尚未在交易所上市的RTU代币,以及在新法规生效日期之前在交易所上市的RTU代币。 To see the archive of our past newsletters and articles please click here.
